Terms of Use
These Terms of Use (the “Terms”) govern your access to and use of the website and online services of DuneX Biosciences LLC (“DuneX,” “we,” “us,” or “our”). Please read these Terms carefully, along with our Privacy Policy, before using our Web Service (as defined below).
By clicking, accessing, or using our Web Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Web Service.
Web Service
DuneX provides an online presence and related tools for current and prospective customers of DuneX’s contract research services, including but not limited to:
CRISPR-based functional genomics screens
Sleeping Beauty transposon engineering
Stable cell line generation
Yeast-display antibody discovery
Other research-use-only (RUO) genome engineering and discovery services
These online resources, together with any software tools, portals, quote request forms, project-intake forms, or other online functionalities we make available, are collectively referred to as the “Web Service.”
The term “Website” refers to our site at www.dunexbio.com and any related subdomains or sites we operate, including all content, materials, and features provided through them.
From time to time, DuneX may also make certain products or services available for inquiry or purchase via the Web Service.
Accounts and Registration
To access certain features of the Web Service (such as portals, dashboards, or project-tracking tools), you may be required to create an account.
You agree that:
All information you provide during registration is accurate and complete;
You will keep this information accurate and up to date;
You are solely responsible for maintaining the confidentiality of your account credentials (such as username and password); and
You accept responsibility for all activity that occurs under your account.
If you believe that your account or password has been compromised, you must promptly notify us at the contact email provided on the Website (for example, info@dunexbio.com, or such other address as we may specify).
Access and Use of the Web Service
Subject to your continued compliance with these Terms and any applicable written agreement between you and DuneX, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Web Service for your internal business and non-clinical research purposes.
You agree not to:
Use the Web Service for any unlawful purpose;
Attempt to gain unauthorized access to any portion of the Web Service or related systems;
Reverse engineer, decompile, or attempt to derive the source code of any software used in the Web Service (except to the extent such restrictions are prohibited by applicable law);
Use the Web Service in a way that could damage, disable, overburden, or impair it; or
Interfere with any other party’s use of the Web Service.
Data Ownership and Use of Your Data
The Web Service may allow you to submit data or content, or to access data generated by DuneX on your behalf, including but not limited to:
Project requests and experimental designs
Sequences, target lists, cell line information, or assay parameters
Screen data, reports, result summaries, or other analysis outputs
We refer to this collectively as “Your Data.”
You retain all ownership rights in Your Data. However, to operate and improve the Web Service and to perform our services for you, you grant DuneX a non-exclusive, worldwide, royalty-free, transferable, sublicensable, irrevocable license to:
Use, process, store, and reproduce Your Data as necessary to provide the Web Service and any contracted services to you; and
De-identify and aggregate Your Data with data from other users, and use such aggregated and de-identified data for any lawful purpose (including internal research, product and service improvement, benchmarking, and analytics).
DuneX will not disclose Your identifiable Data to third parties except as described in our Privacy Policy or in a separate written agreement with you.
You represent and warrant that:
You have all rights, consents, and permissions necessary to submit Your Data to DuneX; and
Your submission and our use of Your Data in accordance with these Terms will not violate any laws or infringe any third-party rights.
Feedback
We may ask for, or you may choose to provide, feedback, suggestions, or ideas regarding the Web Service or our services (collectively, “Feedback”).
If you provide Feedback, you agree that DuneX may use it in any manner, including to develop and improve our Web Service, offerings, and internal processes.
You hereby grant DuneX a perpetual, irrevocable, worldwide, fully paid-up, royalty-free, transferable, and sublicensable license to use, reproduce, modify, distribute, display, and otherwise exploit the Feedback for any purpose, without obligation or compensation to you.
Support
DuneX may, but is not obligated to, provide technical or customer support relating to your use of the Web Service. Any support we choose to provide is subject to change or discontinuation at any time.
Service Providers
Such as:
Web hosting services
Cloud and IT infrastructure providers
Payment processors
Marketing and analytics tools
Shipping and logistics partners
Contracted scientific service providers (if required by your project)
All service providers must handle your data consistent with this Policy.
Intellectual Property Rights
The Web Service, including all content, design, text, graphics, logos, icons, images, software, and other materials available on or through the Website, is owned by DuneX or its licensors and is protected by applicable intellectual property and other laws.
Except as expressly allowed in these Terms:
You may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or otherwise use any portion of the Web Service; and
All rights not expressly granted are reserved by DuneX and its third-party licensors.
No Third-Party IP License.
Access to the Web Service and any tools, reports, or results provided by DuneX does not grant or imply any license under any third-party intellectual property rights (including patents relating to CRISPR systems, transposons such as Sleeping Beauty or PiggyBac, viral vectors, or other genome engineering technologies).
It is solely your responsibility to determine:
Whether additional third-party licenses or permissions are required for your intended use of any products, services, or outputs; and
To obtain such rights if required.
Links to Other Websites
The Website may include links to third-party websites or resources for your convenience. DuneX does not control, endorse, or assume any responsibility for:
The content, products, or services on or available from those websites; or
Any privacy practices or policies of third parties.
If you access any third-party website, you do so at your own risk and subject to the applicable terms and policies of that third party.
Terms for Sale of Products and Services
Any request, order, purchase, or use of DuneX’s laboratory services, products, or deliverables is subject to separate written terms, such as:
DuneX’s Terms of Service / Terms of Sale;
A Statement of Work (SOW);
A Master Service Agreement (MSA); or
Other written agreement between you and DuneX.
Any offer for any product or service made on or through the Web Service is void where prohibited.
Disclaimers
No Warranties
The Web Service and all content, data, designs, information, materials, and software made available through the Web Service (including any reports, analysis outputs, or other results) are provided on an “AS IS” and “AS AVAILABLE” basis.
To the fullest extent permitted by law, DuneX disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:
Implied warranties of merchantability;
Fitness for a particular purpose;
Non-infringement; and
Any warranties arising out of course of dealing or usage of trade.
Without limiting the foregoing, DuneX makes no warranty that:
The Web Service will be uninterrupted, timely, secure, or error-free;
Any results, designs, data, or analyses generated or delivered are accurate, complete, or suitable for your intended use; or
Defects will be corrected.
You are solely responsible for validating and verifying any results obtained from the Web Service or services before relying on them.
Research-Use-Only / No Medical or Clinical Use
All information, tools, and outputs available through the Web Service—including text, graphics, diagrams, workflows, reports, and any scientific content—are for research and informational purposes only.
They do not constitute:
Medical advice;
Diagnosis, treatment, or prevention of disease;
Clinical decision support; or
Regulatory submissions or filings.
Unless explicitly agreed otherwise in a separate written agreement:
DuneX’s services and Web Service outputs are for RESEARCH USE ONLY and are NOT intended for use in human or animal therapeutic, diagnostic, prophylactic, or other medical applications.
The Web Service has not been reviewed or cleared by any regulatory agency (including the U.S. FDA or any foreign counterpart). You are solely responsible for determining whether your planned use of any DuneX product, service, or result is permissible and compliant with applicable laws and regulations.
Use Outside the United States
DuneX makes no representation that the Web Service, or any content or services, are appropriate or available for use outside the United States. Access may not be legal in certain countries or by certain persons.
If you access or use the Web Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
DuneX reserves the right to limit the availability of the Web Service or any portion thereof to any person, geographic area, or jurisdiction at any time in our sole discretion.
Indemnification for Clinical and Other Prohibited Uses
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless DuneX, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
Your use of the Web Service or any results, reports, or outputs for any human or animal clinical, therapeutic, diagnostic, prophylactic, or other medical purpose;
Your failure to obtain any required approvals, licenses, or permissions for your use of the Web Service or outputs; or
Your violation of these Terms or any applicable law.
Limitation of Liability
To the fullest extent permitted by law:
DuneX and its affiliates, suppliers, and content providers will not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, business interruption, or loss of data) arising from or related to your use of, or inability to use, the Web Service, even if DuneX has been advised of the possibility of such damages; and
In no event shall the aggregate liability of DuneX to you for all claims arising out of or relating to the Web Service or these Terms exceed USD $100 (one hundred U.S. dollars).
Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, the limitations shall apply to the maximum extent permitted by law.
Compliance with Law
You represent and warrant that you will use the Web Service and any outputs in compliance with all applicable laws, regulations, and governmental policies, including but not limited to:
Export control and sanctions laws;
Biosafety and biosecurity regulations;
Data protection and privacy laws; and
Any applicable animal or human research regulations (if relevant).
You are solely responsible for obtaining any approvals, licenses, permits, or ethical clearances that may be required for your intended use.
Term and Termination
These Terms will remain in effect until terminated.
Either you or DuneX may terminate these Terms at any time, with or without cause, by providing notice to the other party. If you choose to terminate, you may do so by ceasing use of the Web Service and, if applicable, notifying us at info@dunexbio.com (or another contact address we designate).
Upon termination:
You must immediately stop using the Web Service; and
The following sections will survive termination: Sections 4–18 (and any other provisions which by their nature should reasonably survive).
Termination of these Terms does not affect any separate written agreement (such as an MSA, SOW, or Terms of Service) between you and DuneX, which will continue according to its own terms.
Changes to the Web Service and to These Terms
We may modify, update, or discontinue all or part of the Web Service at any time, with or without notice.
We may also revise these Terms from time to time. If we make material changes, we will attempt to notify you (for example, by posting the updated Terms on the Website with a new “Effective Date” or by sending an email if you have an account).
Your continued use of the Web Service after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, your sole remedy is to stop using the Web Service and, if applicable, terminate your account.
Governing Law and Arbitration
These Terms are governed by and construed in accordance with the laws of the State of California, USA, without giving effect to any conflict-of-law principles or the United Nations Convention on Contracts for the International Sale of Goods.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Web Service (including any question regarding their existence, validity, or termination) shall be finally resolved by binding arbitration:
Administered by the International Centre for Dispute Resolution (ICDR) or a similar recognized arbitration body;
In accordance with its applicable rules;
Before a single arbitrator;
Conducted in English; and
Held in Alameda County, California, USA, unless the parties agree otherwise in writing.
Either party may seek interim or provisional injunctive relief from a court of competent jurisdiction in aid of arbitration or to protect its rights pending the outcome of arbitration.
Judgment on the arbitration award may be entered and enforced in any court with jurisdiction.
General Provisions
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
Headings. Section headings are for convenience only and do not affect interpretation.
Assignment. You may not assign or transfer these Terms, in whole or in part, by operation of law or otherwise, without DuneX’s prior written consent. DuneX may assign these Terms without restriction.
No Waiver. Any failure by DuneX to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
Entire Agreement. These Terms, together with our Privacy Policy and any applicable written agreement between you and DuneX, constitute the entire agreement between you and DuneX regarding the Web Service.
Interpretation. The term “including” means “including but not limited to.”
