1. Website and Online Services

DuneX provides an online presence and related tools for current and prospective customers of DuneX’s contract research services, including but not limited to:

• Yeast display antibody discovery;
• Synthetic scFv and VHH binder discovery;
• Affinity maturation and protein engineering workflows;
• Flow cytometry-based screening and enrichment;
• Research-use-only antibody discovery, characterization, and related services;
• Other non-clinical research and discovery services that DuneX may offer from time to time.

These online resources, together with any quote request forms, project-intake forms, contact forms, customer portals, reports, dashboards, or other online functionalities we make available, are collectively referred to as the “Web Service.”

The term “Website” refers to our site at www.dunexbio.com and any related subdomains or websites we operate, including all content, materials, and features provided through them.

2. Accounts and Registration

To access certain features of the Web Service, such as customer portals, dashboards, project-tracking tools, or report access, you may be required to create an account.

You agree that:

• All information you provide during registration is accurate and complete;
• You will keep this information accurate and up to date;
• You are solely responsible for maintaining the confidentiality of your account credentials; and
• You accept responsibility for all activity that occurs under your account.

If you believe that your account or password has been compromised, you must promptly notify us at info@dunexbio.com.

3. Access and Use of the Web Service

Subject to your continued compliance with these Terms and any applicable written agreement between you and DuneX, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Web Service for your internal business, evaluation, and non-clinical research purposes.

You agree not to:

• Use the Web Service for any unlawful purpose;
• Attempt to gain unauthorized access to any portion of the Web Service or related systems;
• Reverse engineer, decompile, or attempt to derive the source code of any software used in the Web Service;
• Use the Web Service in a way that could damage, disable, overburden, or impair it;
• Interfere with any other party’s use of the Web Service;
• Scrape, harvest, or extract data from the Website by automated means without our prior written consent;
• Use any content from the Web Service to develop, train, or improve competing products or services without our prior written consent.

4. Your Data

The Web Service may allow you to submit data or content, or to access data generated by DuneX on your behalf, including project requests, target information, antigen information, sequence information, assay parameters, binder sequences, enrichment data, screening data, reports, summaries, or analysis outputs.

You retain ownership of Your Data. However, to operate the Web Service and perform services for you, you grant DuneX a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, analyze, and transmit Your Data as reasonably necessary to provide the Web Service and any contracted services.

Unless otherwise agreed in a separate written agreement, DuneX may also use aggregated or de-identified data for lawful internal purposes, including improving workflows, services, quality systems, analytics, benchmarking, and scientific operations, provided such data does not identify you or your confidential project-specific information.

5. Confidentiality

Certain information submitted through the Web Service may be confidential or proprietary. DuneX will use commercially reasonable efforts to protect confidential project-related information submitted by customers.

Website forms and general communications may not be appropriate for highly sensitive confidential information unless a separate confidentiality agreement or written service agreement is in place.

6. Feedback

If you provide feedback, suggestions, comments, or ideas regarding the Web Service, DuneX may use them to develop, improve, market, or modify our Web Service, offerings, workflows, and internal processes without obligation or compensation to you.

7. Support

DuneX may, but is not obligated to, provide technical, scientific, or customer support relating to your use of the Web Service. Any support we choose to provide is subject to change or discontinuation at any time.

8. Service Providers

DuneX may use third-party service providers to operate the Web Service and support our business operations, including:

• Web hosting providers;
• Cloud and IT infrastructure providers;
• Email and communication tools;
• Analytics and marketing tools;
• Payment processors;
• Shipping and logistics partners;
• Contracted scientific service providers, consultants, or subcontractors, if required for a project.

9. Intellectual Property Rights

The Web Service, including all content, design, text, graphics, logos, icons, images, software, workflows, diagrams, and other materials available on or through the Website, is owned by DuneX or its licensors and is protected by applicable intellectual property and other laws.

10. No Third-Party IP License

Access to the Web Service and any tools, reports, data, designs, sequences, workflows, or results provided by DuneX does not grant or imply any license under any third-party intellectual property rights.

You are solely responsible for determining whether additional third-party licenses, permissions, or rights are required for your intended use of any products, services, deliverables, or outputs.

11. Links to Other Websites

The Website may include links to third-party websites or resources for your convenience. DuneX does not control, endorse, or assume responsibility for third-party websites, resources, products, services, or privacy practices.

12. Terms for Sale of Products and Services

Any request, order, purchase, or use of DuneX’s laboratory services, products, project deliverables, reports, or scientific outputs may be subject to separate written terms, such as a Statement of Work, quotation, proposal, Master Services Agreement, Terms of Service, Terms of Sale, confidentiality agreement, or another written agreement.

13. Disclaimers

No Warranties

The Web Service and all content, data, designs, information, materials, and software made available through the Web Service are provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by law, DuneX disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

DuneX makes no warranty that any results, designs, sequences, binders, data, reports, or analyses generated or delivered are accurate, complete, reproducible, or suitable for your intended use. You are solely responsible for validating and verifying any results before relying on them.

14. Research-Use-Only / No Medical or Clinical Use

All information, tools, reports, workflows, sequences, binders, and outputs available through the Web Service are for research and informational purposes only.

Unless explicitly agreed otherwise in a separate written agreement, DuneX’s services and Web Service outputs are for RESEARCH USE ONLY and are not intended for use in human or animal therapeutic, diagnostic, prophylactic, or other medical applications.

The Web Service has not been reviewed, approved, cleared, or authorized by the U.S. FDA or any foreign regulatory agency. You are solely responsible for determining whether your planned use of any DuneX product, service, binder, sequence, report, or result is permissible and compliant with applicable laws and regulations.

15. Use Outside the United States

DuneX makes no representation that the Web Service, or any content or services, are appropriate or available for use outside the United States. If you access or use the Web Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

16. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless DuneX, its affiliates, and their respective officers, directors, employees, agents, contractors, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or relating to your use of the Web Service, your use of any outputs provided by DuneX, your failure to obtain required approvals or licenses, your violation of these Terms, or your submission of Your Data.

17. Limitation of Liability

To the fullest extent permitted by law, DuneX and its affiliates, suppliers, service providers, contractors, and content providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, loss of data, loss of goodwill, failed experiments, failed research programs, or loss of commercial opportunity.

In no event shall the aggregate liability of DuneX to you for all claims arising out of or relating to the Web Service or these Terms exceed USD $100.

18. Compliance with Law

You represent and warrant that you will use the Web Service and any outputs in compliance with all applicable laws, regulations, and governmental policies, including export control and sanctions laws, biosafety and biosecurity regulations, data protection and privacy laws, intellectual property laws, research ethics rules, and any applicable human, animal, or biological research regulations.

19. Term and Termination

These Terms will remain in effect until terminated. Either you or DuneX may terminate these Terms at any time, with or without cause, by providing notice to the other party or by ceasing use of the Web Service.

20. Changes to the Web Service and These Terms

We may modify, update, suspend, or discontinue all or part of the Web Service at any time, with or without notice. We may also revise these Terms from time to time. Your continued use of the Web Service after any changes become effective constitutes your acceptance of the revised Terms.

21. Governing Law and Arbitration

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without giving effect to any conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Web Service shall be finally resolved by binding arbitration administered by the International Centre for Dispute Resolution, the American Arbitration Association, JAMS, or another recognized arbitration body agreed by the parties. The arbitration shall be conducted in English before a single arbitrator and held in Alameda County, California, USA, unless the parties agree otherwise in writing.

22. General Provisions

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment. You may not assign or transfer these Terms without DuneX’s prior written consent. DuneX may assign these Terms without restriction.

No Waiver. Any failure by DuneX to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Entire Agreement. These Terms, together with our Privacy Policy and any applicable written agreement between you and DuneX, constitute the entire agreement between you and DuneX regarding the Web Service.
